  • Corporate - Formation, merger and dissolution of corporations, partnerships and LLCs; corporate counseling and internal investigations.
  • Securities - Stock issuance (public and private); debt issuance (including Eurobond, indentured trusts); venture capital and startup financing; compliance reporting.
  • Real Estate - Purchase, sale and leasing; real estate secured lending.
  • Intellectual Property - Technology transfers under licensing, assignment and trade secret structures; trademark and copyright applications.
  • Franchising - Drafting and review of UFOC and franchise, license and lease agreements, on behalf of both franchisors and franchisees; counseling regarding international expansion.
  • E-Commerce - Represention of clients in setting up e-commerce sites for various businesses, including software sales, vehicle rentals, micro-loans, sales force training, franchising, and others. Has advised clients on content presented on their websites prior to taking them public.
