Luce Forward lawyers have broad transactional and litigation experience in tax-exempt municipal finance and public law matters. We serve as bond counsel, underwriter's counsel, developer's counsel, disclosure counsel and lender's counsel in a wide range of financings throughout California.

Finance Transactions.

Our finance practice includes tax-exempt and taxable debt offerings, redevelopment and other "public/private" development and redevelopment, mitigation agreements, affordable housing, letters of credit, and reimbursement agreements, and low income housing tax credit transactions. In tax-exempt transactions, our experience includes assessment district and community facility district infrastructure financing, redevelopment tax increment, water and sewer revenue bonds, workouts and restructures of troubled municipal debts, joint powers authority revenue bonds and bond pool financings, industrial development, certificates of participation and educational facilities bonds.

Litigation.

Our litigation experience includes mandamus, trial and appellate work for issuers, underwriters and developers.

Representative Matters.

Developer's counsel for more than $800 million of planned-community infrastructure financing throughout California, including assessment, special tax and redevelopment tax increment bonds.

Successful litigation sustaining the validity of lease-revenue financing. Rider v. San Diego (1998) 18 Cal 4th 1035.

Underwriter's counsel in the issuance of over $150 million of revenue, special tax and tax-increment bonds for the City of Palmdale's financing of public improvements.

Negotiating more than 50 school mitigation agreements throughout Southern California.

Developer's counsel for industrial development bonds on behalf of Advanced Aerodynamics and Structures, Inc. and Desalination Systems Inc., which created more than 400 jobs in Vista and Long Beach.

Lender's counsel for financing and expansion of water and irrigation facilities, senior facilities and school facilities in Vista, El Cajon and San Diego.

Over 30 low income housing tax credit projects.
