Advising Individual Donors Concerning Structure, Deductibility and the Limitations on Charitable Contributions -  We demonstrate commitment to many of our nonprofit clients by providing comprehensive planning and long-term charitable giving programs. We advise clients on charitable contributions, charitable remainder trusts, pooled income funds, and charitable gift annuities. We counsel clients on private inurement, intermediate sanctions and private benefit issues.

Compliance and Audits - Handling complex audits, litigation and Attorney General investigations.

Corporate Governance - Our attorneys draft corporate governance documents, minutes and resolutions, joint venture agreements, merger agreements, IP licenses and other agreements for tax-exempt organizations.

Initial Setup and Tax-Exempt Application Process - Advising founders on forming, structuring and obtaining tax-exempt status for all types of tax-exempt entities under Section 501(c).

Representative Matters. 

We advised a medical research organization on forming a separate organization for fund raising. We formed the new organization, obtained tax-exempt status and structured the agreements between the two organizations.

We represented a donor on a gift of land to a charity which would then be subject to a conservation easement. We structured the gift and transaction documents, including the agreements between the land owners and the charity.

We advised a charity on three separate merger transactions which allowed our client to grow substantively during a period when most of the comparable organizations contracted.

We represented a tax-exempt entity in entering into a partnership agreement with a for-profit low income housing developer.
