Jason A. Femrite

Jason Femrite is co-chair of our mergers and acquisitions group. Mr. Femrite's practice focuses on the representation of both private and publicly held companies, funds and investment firms in a wide range of transactions from structure and formation to capitalization and finance, and sale and acquisition.

Mr. Femrite's emphasis is in the areas of mergers and acquisitions, private equity, corporate and venture finance, securities and general corporate matters. His experience in these areas includes the representation of both buyers and sellers in mergers, management buyouts, stock and assets sales and private placements. He also has significant experience in the areas of corporate governance and securities compliance for both public and private clients. He represents clients involved in many industries, including biotechnology, cleantech, action sports, financial institutions, automotive and manufacturing.

Recent Work / Representative Matters

Mergers and Acquisitions.

Represented management in their $165 million buyout of the U.S. operations of a large London Stock Exchange homebuilder, which included a separately negotiated $60 million private financing component.

Represented large privately held international life-sciences company in connection with the $95 million sale of its, and its subsidiaries, outstanding capital stock to a global provider of biological products and enabling technologies listed on the NASDAQ national stock market.

Represented a large state pension fund in connection with the disposition of its approximately $70 million investment in two international real estate funds.

Represented a subsidiary of a large publicly-traded homebuilder in connection with the approximately $48 million acquisition of all of the outstanding equity of a local developer.

Represented a leading wholesale distributor in connection with strategic acquisitions totaling more than $45 million.

Represented large privately held foreign corporation in connection with its $30 million acquisition of U.S.-based software company.

Represented Internet-based information technology company in connection with its $30 million acquisition by a large strategic partner.

Represented manufacturer of telecommunications equipment in connection with the approximately $25 million acquisition of all of its outstanding equity to the U.S. subsidiary of a large international conglomerate.

Represented manufacturer in aerospace industry in connection with the sale of all of its outstanding equity for approximately $20 million to a private equity fund.

Financings. 

Represented one of a group of investors in connection with the $500 million financing of a production company.

Represented a pharmaceutical company listed on NASDAQ in connection with $45 million of PIPE financings.

Represented a private company providing tools to foster safer driving and to aid in crash reconstruction in connection with an offering of Series D Preferred Stock to investors for approximately $41 million.

Represented one of a group of investors in connection with the $40.5 million financing of an American Stock Exchange listed pharmaceutical company.

Represented underwriter in connection with a $15 million firmly underwritten public offering.

Represented provider of interactive digital broadband services in connection with $15 million financing by several institutional investors led by New York Stock Exchange listed company.
